Job Summary
The Legal and Governance Manager at BRAC Uganda Bank Ltd will support the Head of Legal & Company Secretary in managing the Bank’s legal and governance responsibilities. This role involves mitigating legal risks, overseeing legal officers, ensuring regulatory compliance, and strengthening corporate governance frameworks.
Roles, Duties, and Responsibilities
Legal Advice and Risk Management
- Provide daily legal counsel to internal stakeholders to minimize the Bank’s legal risks
- Collaborate with external lawyers to manage and coordinate lawsuits and potential claims
- Review, negotiate, and draft contracts, loan documents, and other legal documents
- Monitor compliance with laws and regulations, identifying emerging legal issues
- Review legal opinions and submissions before escalation to the Head of Legal & Company Secretary
- Prepare regular reports for Management and the Board from the legal department
Governance and Compliance Oversight
- Assist the Head of Legal & Company Secretary in managing Board and Committee operations, ensuring adherence to Board charters, preparing documents, and reviewing meeting minutes
- Ensure all departments comply with corporate governance best practices
- Monitor and track regulatory obligations (e.g., BoU, URSB, FIA, AML compliance) for timely filing and disclosure
- Plan and conduct governance capacity-building sessions and Board induction programs
- Manage Board archives, resolutions, and execution tracking procedures
- Develop and maintain governance-related policies, charters, and internal frameworks
Leadership of the Legal Department
- Supervise legal officers, monitor departmental performance, and ensure proper case allocation
- Provide training and support to new legal professionals to enhance their performance
- Ensure compliance with internal reporting and service level agreements (SLAs)
- Develop and manage departmental knowledge resources and best practices
Qualifications, Education, and Skills
- Bachelor of Laws (LLB) degree and a Postgraduate Diploma in Legal Practice
- Valid Practicing Certificate issued by the Law Council
- Master’s degree in Law or a related field is an advantage
- Minimum 5 years of combined experience in a legal firm and/or regulated financial institution
- Proven experience supporting boards, ensuring governance compliance, and managing legal teams
- Strong knowledge of corporate, governance, banking, and regulatory legislation
- Excellent research, drafting, analytical, and negotiation skills
- Proven leadership and team management abilities
- High ethical standards, integrity, and confidentiality in handling sensitive matters
- Strong understanding of corporate governance regulations and regulatory reporting requirements
- Knowledge of banking, finance, and insurance laws is an advantage
- Excellent communication and presentation skills
- Sound judgment, discretion, and professionalism
